PHOTO & VIDEO RELEASE

In consideration for allowing my image(s) to appear in the recording and performance of Joe Bonamassa’s (“Artist”) live-stream concert at the Ryman Auditorium, located at 116 Fifth Avenue North, Nashville, Tennessee (“Venue”) on September __, 2020 (the “Production”), the receipt of which shall be sufficient consideration for this Release, I do hereby:

1. Irrevocably assign and grant to JR Affiliates, LLC, its representatives, designees, licensees, successors, and assigns (collectively, “Producer”), all worldwide right, title, and interest in or to the image(s) that I am voluntarily submitting to Producer (the “Image(s)”), including, but not limited to, my image and likeness contained therein (the “Image Rights”);



2. Grant to Producer, its representatives, designees, licensees, successors, and assigns the irrevocable, perpetual, and absolute right: (i) to reproduce and use the Image(s), and the Image Rights contained therein, as they may be reproduced, altered, edited, modified, revised and printed for purposes of Producer, and (ii) to place the Image(s) in seats at the Venue, such that the Image(s) may be visible to those at the Venue, and embodied in any still photographs and audiovisual master recordings in connection with the Production (the “Footage”);



3. Represent and warrant that I own all Image(s) and Image Rights and/or have all necessary authorization from all applicable rightsholders, and/or have the express permission and authorization of all rightsholders to submit the Image(s) to Producer and to agree to this Release on behalf of myself, and/or the rightsholders;



4. Acknowledge that Producer has the right in perpetuity to depict the Image(s) and the Image Rights therein in connection with the Footage embodied in the Production, any and all affiliated productions, and/or other productions and versions thereof, in any and all manner and medium now known or hereafter devised, including, without limitation, in materials related to the Production, and in advertising and promotion thereof, without payment of any compensation to me, or my heirs, legal representatives, successors or assigns;



5. Consent to the use of the Image(s) and the Image Rights embodied therein, by Producer in connection with advertising, publicizing, and exploiting the Production and acknowledge that I have no right of approval of the use of the Image(s) as embodied in the Production; and



6. Represent and warrant that I am eighteen (18) years of age or older and that this Release does not conflict with any existing commitments on my part, and that I have the full right and authority to sign this Release. I have read the foregoing Release before affixing my signature below, and warrant that I fully understand the content hereof.

TO THE FULLEST EXTENT PERMITTED BY LAW, I AGREE TO INDEMNIFY, RELEASE, FOREVER DISCHARGE, AND HOLD HARMLESS THE PRODUCER, THE ARTIST, and their respective owners, stockholders, members, directors, officers, employees, agents, affiliates, contractors, representatives, successors, heirs and assigns, and each and every person acting by, through, under, or in concert with them, or any of them (hereinafter, individually and collectively referred to as the “Released Parties”) of and from all manner of action or actions, cause or causes of action, at law or equity, suits, claims, demands, damages, liability, lost cost or expense, of any nature whatsoever known or unknown, fixed or contingent (hereinafter referred to as “Claims”) that I may have or hereafter have against the Released Parties by reason of any injuries that I may sustain, whether to my person, property and/or reputation, including, without limitation, any and all claims for false endorsement, rights of publicity, defamation, and/or invasion of privacy, as a result of or incident to the Released Parties use of the Image(s), and/or the Image Rights in connection with the Production and/or in any manner authorized or contemplated by this Release. I further covenant not to sue or otherwise pursue any form of recovery or legal action, including arbitration, against the Released Parties arising from or relating to any Claim.

I acknowledge and agree that Producer reserves the right, at its sole and absolute discretion, to refuse to use and/or display any Image(s), including, without limitation, any Image(s) the Producer deems to be lewd, immoral, offensive, tasteless, or otherwise inappropriate or improper.

BY AGREEING TO THIS RELEASE, I CERTIFY THAT I HAVE CAREFULLY READ THIS RELEASE, AND THAT I AM COMPETENT TO ACCEPT THE TERMS HEREIN WITH FULL UNDERSTANDING OF ITS CONTENTS. I AM AWARE THAT THIS IS A RELEASE OF LIABILITY AND CONTRACT BETWEEN MYSELF AND THE RELEASED PARTIES AND BY ACCEPTING AND SUBMITTING THIS RELEASE, I AGREE TO BE BOUND BY THE TERMS OF THIS RELEASE AND DO SO OF MY OWN FREE WILL.
